XRP news has turned toward Cantor Fitzgerald following a new financing agreement with Ripple-backed Evernorth Holdings.
The XRP treasury company signed an agreement with Cantor affiliate CF Principal Investments on October 23.
Under the arrangement, Evernorth could issue approximately 5.22 million new shares over roughly 14 months. The deal could raise $80.7 million, with a large portion intended for additional XRP purchases.
However, the agreement does not directly provide Evernorth with the projected funds. Instead, it creates a financing facility that the company can access when market conditions and capital requirements permit.
How Cantor Fitzgerald’s XRP Treasury Financing Deal Works
Under the XRP news agreement, Evernorth controls when and how many shares it sells to Cantor’s affiliate. Each purchase would occur at 97% of the applicable volume-weighted average trading price. This structure allows Evernorth to raise capital through periodic share sales rather than a single transaction.

Once Cantor purchases the shares, it can resell them in the public market. Evernorth receives the proceeds from the initial purchases but earns nothing from Cantor’s sales. Meanwhile, the agreement limits purchases to 20% of trading volume during the applicable purchase period.
The financing also restricts Cantor’s ownership to 4.99%, preventing it from accumulating a larger position under the arrangement.
However, Evernorth cannot access the facility until the SEC declares the resale registration statement effective. The company must also fulfill other contractual requirements before initiating any transactions.
Additionally, Evernorth faces an initial commitment fee of approximately $522,000, which could increase to $1 million under certain conditions. As a result, the final amount raised will depend on share prices, trading liquidity, and actual issuance volumes.
XRP News: Evernorth Plans Additional XRP Purchases with New Capital
The XRP news update also outlines how Evernorth intends to allocate the proceeds from any financing.
Based on its October 22 closing share price of $15.46, the prospectus estimates $80.7 million in gross proceeds. After accounting for fees and expenses, estimated net proceeds would reach approximately $78.3 million.
Evernorth plans to allocate a large portion of that capital toward expanding its XRP holdings. The remaining funds would support working capital, corporate expenses, and activities across the XRP ecosystem.
However, these purchases depend on Evernorth successfully raising capital through the facility. The company has not issued shares under the agreement, meaning the projected XRP purchases remain conditional.
Evernorth, backed by Ripple, SBI, Pantera, Kraken, and GSR, entered public markets in October. Its financing strategy includes raising capital when shares trade above the net asset value of its XRP holdings.
The company intends to use such opportunities to acquire additional XRP while seeking a higher per-share asset value.
Existing Warrants Could Provide Additional Treasury Funding
Beyond the Cantor agreement, Evernorth has another possible funding source through outstanding public warrants.
An earlier SEC filing indicated that nearly 11.5 million shares were available through warrant exercises at $11.50 each. A full cash exercise could generate approximately $132.2 million, although the proceeds depend on holders exercising their rights.
Unlike the Cantor facility, those warrants originated with the special purpose acquisition company behind Evernorth’s public listing.
Evernorth has set aside possible warrant proceeds for general corporate purposes, leaving allocation decisions with management.
Both arrangements could expand the company’s funding capacity while increasing its outstanding shares. Consequently, existing shareholders would face possible dilution if Evernorth issues additional equity.
The agreement on XRP news also connects Evernorth with Cantor Fitzgerald, now led by chairman and CEO Brandon Lutnick.
His father, Commerce Secretary Howard Lutnick, transferred his ownership stake to family trusts upon entering government service. Brandon serves as a controlling trustee, while Cantor’s affiliate remains the direct purchasing counterparty under the financing agreement.
